Insiders Club Membership
This authorization constitutes a binding agreement made between the publishers of FocoAmerica.com (Publisher) and the person or company identified below (Insider), for the purpose of promotion through publishing articles, videos, pictures and audio in FocoAmerica.com website, YouTube channel and Social Medias.
The rights under this agreement shall not be transferable to another Insider without the prior written consent of the Publisher.
The Insider agrees to submit to Publisher all materials according to formats accepted by publisher on the indicated deadline and take all responsibility for the authorship and authenticity of the submitted content.
The Insider material is subject to acceptance and approval by the FocoAmerica.com according to Publisher specifications. Any changes necessary to modify the material to conform to the size or production specifications listed on the rate card will be added as additional charges to the Insider.
Indemnity. All Insider’s content and materials are accepted and published upon the representation that the Insider has the right to authorize publication of all contents and the representations made therein do not infringe on or damage any third party.
Insider will indemnify and hold harmless Publisher from all claims and resulting damages, loss, and expenses (including reasonable attorney’s fees) arising from the publication of the Insider’s material. Claims include, but are not limited to, claims or suits for libel, violation of privacy, plagiarism, and copyright infringement.
Cancellation. Insider understands that the space herein is immediately reserved for Insider by the Publisher upon the execution of this agreement and payable in lawful money of the United States. Cancellation of this agreement cannot, therefore, be accepted by Publisher.
Payment Terms: Payment is due according to the Membership fees.
In the event Insider fails to make payments as agreed upon the date due, Insider waives his rights to any and all discounts to which it may have been entitled. Publisher reserves the rights to hold Insider and/or its advertising agency jointly and liable for such monies as are due and payable to the Publisher.
Discounts. Any discount negotiated is based on the gross price of FocoAmerica.com as specified on the Rate Card.
If any action be instituted for collection or for breach of any terms of this agreement, Insider promises to pay collection costs, reasonable attorney’s fees and court costs. Insider waives the benefit of any statute of limitation affecting his liability hereunder or the enforcement thereof. Time is of the essence.
Any controversy or claim arising out of or relating to this agreement, or the breach thereof, may be settled by arbitration and in accordance with the Uniform Rules for better Business Bureau Arbitration, and the judgment upon the award rendered by the Arbitrator(s) may be entered in any Court having jurisdiction thereof.
These terms and conditions are the complete understanding between the parties concerning all matters contained herein, and any prior statements or representations are superseded by this agreement.
